(“Bellin”) may revise and update these Terms and Conditions of Use at any time.  Your use of the Site thereafter will signify your agreement to any such changes.  You acknowledge and agree that your access to, and use of, the Site is completely voluntary.

Bellin assumes no liability for or related to the delay, failure, interruption, or corruption of any data or other information transmitted in connection with your use of the Site.  Bellin further does not warrant or guaranty that files or other information available for downloading from the Site will be free of infections or viruses, worms, Trojan horses, or other code that contains contaminating or destructive properties.  Bellin and its content providers cannot and do not guaranty or warrant against errors, omissions, delays, interruptions, or losses, including loss of data.  Users of the Site are responsible for maintaining a means external to the Site for the reconstruction of any lost data.

BELLIN DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.  IN NO EVENT SHALL BELLIN BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, INDIRECT AND CONSEQUENTIAL DAMAGES, PERSONAL INJURY, WRONGFUL DEATH, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA, OR BUSINESS INTERRUPTION RESULTING FROM THE USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER BELLIN WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  BELLIN SHALL BE LIABLE ONLY TO THE EXTENT OF ACTUAL DAMAGES YOU MAY INCUR, NOT TO EXCEED ONE HUNDRED DOLLARS ($100.00).

  4. that is not related to the topic being discussed, or that otherwise restricts or inhibits any other person from using or enjoying the Site; and
  5. that are in any way connected with the transmission of “junk mail,” “spam,” or the unsolicited mass distribution of e-mail, or with any unethical marketing practices.

Bellin reserves the right, at any time, to temporarily or permanently block your use of the Site in the event Bellin believes, in its sole discretion, that your use of the Site, or the use of the Site by any other person acting on your behalf or at your direction:

  1. has become the subject of a government complaint or investigation;
  2. has violated or is alleged to have violated any local, state, or federal law or regulation;
  3. has violated or is alleged to have violated the rights or interests of any person or entity;
  4. impairs or threatens to impair the functionality of servers owned or operated by Bellin, or other websites hosted or maintained by Bellin on its own behalf or for the benefit of any other person or entity; or
  5. has violated or threatens to violate these Terms and Conditions of Use.

You shall indemnify and hold harmless Bellin from any and all damages, claims, actions, investigations, proceedings, losses, costs, and other related expenses (including actual attorneys’ fees) that may arise out of:  (a) any breach of these Terms and Conditions of Use by you or anyone acting on your behalf or at your direction; (b) any breach of any of the representations or warranties made by you in these Terms and Conditions of Use; and (c) any alleged violation of any rights of another, including, but not limited to, your disclosure or use of any confidential information of any third party.  Any indemnification rights granted hereby are independent of, and in addition to, such rights and remedies Bellin may have at law or in equity, or otherwise.

Personal Health Information:

You acknowledge and agree that any information shared or revealed as part of your use of the Site (including, but not limited to, personally identifiable and personal health information) is open to the public and not private or secure.  What you have written or otherwise submitted may be seen, disclosed to, or collected by third parties and may be used by others in ways Bellin is unable to control or predict, including to contact you for unauthorized purposes.  Please think carefully before disclosing any personally identifiable or personal health information in connection with your use of the Site.

General:

Because of the designated purpose of the Site and the information it provides, you agree that the Site does not constitute a service that targets any one community, user group, business, or industry.  Because the Site is deigned for educational purposes, you also agree that it does not constitute “doing business” in any specific jurisdiction or soliciting business for Bellin or any of our affiliated companies, subsidiaries, or our parent company, or establishing “minimum contracts” with any jurisdiction outside of the State of Wisconsin.  You expressly agree that exclusive jurisdiction for any dispute with Bellin, or in any way relating to your use of the Site, shall reside in the courts of the State of Wisconsin; and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of Wisconsin in connection with any such dispute.  These Terms and Conditions of Use are governed by the laws of the State of Wisconsin, without respect to its conflict of laws principles.  If any provision of these Terms and Conditions of Use is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which provisions shall remain in full force and effect.  No waiver of any of these Terms and Conditions of Use shall be deemed a further or continuing waiver of such term or condition, or any other term or condition.  These Terms and Conditions of Use constitute the entire agreement between you and Bellin with respect to your use of the Site and any information contained thereon.
